Terms of Service
Important. These Terms contain a binding individual arbitration agreement and a class-action waiver (Section 09). They affect your legal rights. By using Loopdin you agree to them.
These Terms of Service (the "Terms") are a binding agreement between you and Loopdin Inc., a Delaware corporation ("Loopdin", "we", "us"). They govern your access to and use of loopdin.ai, our applications, APIs, and related services (the "Service"). By accessing or using the Service, you accept these Terms and our Privacy Policy. If you don't agree, don't use the Service.
01Eligibility and your account
You must be at least 13 years old (and the higher minimum required where you live) and able to enter a binding contract. You must provide accurate information and keep your credentials secure. You're responsible for everything that happens under your account. Notify us at of any unauthorized access. One account per person unless we agree in writing.
02The Service
Loopdin provides an evolving online service (the "Service"). We may add, change, or remove features at any time, with or without notice. The Service is provided for personal or, where applicable, internal business use only, on a revocable, limited basis.
03Beta and no reliance
The Service is offered in private beta. It may be unstable, contain bugs, change or cease to operate, lose or corrupt data, or be unavailable at any time, with or without notice. You acknowledge and accept this risk. You agree not to rely on the Service for any business-critical, time-sensitive, financial, medical, legal, or other consequential purpose, and you are responsible for maintaining your own backups, records, and contingencies. Features described on our website or in any communication may be aspirational, may change, or may never ship.
04Your content
You keep ownership of the content you submit. By submitting content to the Service, you grant Loopdin a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (for technical purposes), display, distribute, and create derivative works of that content to operate, promote, and improve the Service. This license survives termination to the extent reasonably needed to operate the Service. If you make content public, other users can view and use it as the Service allows. Any feedback you give us, we can use freely.
You represent that you have all rights necessary to submit your content and that it does not violate any law or third-party right.
05Acceptable use
You agree not to:
- Violate any law or third-party right (including IP, privacy, or publicity rights);
- Post anything illegal, defamatory, harassing, deceptive, sexually exploitative of minors, hateful, or that promotes self-harm or violence;
- Impersonate any person or entity or misrepresent your affiliation;
- Scrape, reverse-engineer, decompile, interfere with, or attempt to gain unauthorized access to the Service;
- Use the Service to send spam, malware, or otherwise abuse our systems;
- Resell, sublicense, or commercially exploit the Service without our written permission;
- Use the Service in any way that could harm Loopdin, other users, or third parties.
We may suspend, restrict, or terminate access at our discretion, with or without notice, for any violation or suspected violation, or for any other reason.
06Intellectual property
The Service, including all software, design, text, graphics, trademarks, and logos (except user content), is owned by Loopdin or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable, non-sublicensable license to access and use the Service for its intended purpose. All rights not expressly granted are reserved. "Loopdin" and the Loopdin logo are trademarks of Loopdin Inc. and may not be used without permission.
07Disclaimer
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. Loopdin makes no representation that the Service or any information made available through it is accurate, complete, current, or error-free. To the maximum extent permitted by law, Loopdin disclaims all warranties.
08Limitation of liability
To the maximum extent permitted by law, in no event will Loopdin, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Service, whether in contract, tort, statute, or otherwise, even if advised of the possibility of such damages. Loopdin's aggregate liability for all claims relating to the Service is limited to the greater of (a) the amounts you paid to Loopdin in the twelve months before the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow these limitations; in that case, the limitations apply to the maximum extent permitted.
09Force majeure
Loopdin is not liable for any failure or delay in performance arising out of or relating to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, pandemic, war, terrorism, civil unrest, government action, sanctions, embargoes, labor disputes, internet or telecommunication failures, cyberattacks, denial-of-service attacks, sub-processor or third-party-vendor failures, power outages, and any other force majeure event. Our obligations are suspended for so long as the event continues.
10Security incidents
In the event of a security incident affecting your personal information, we will notify you and any required authority without undue delay where required by applicable law, and to the extent permitted by ongoing investigations. No specific notification timeline is promised beyond what applicable law requires.
11Arbitration and class waiver
You and Loopdin agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration administered by JAMS or AAA in Delaware, in English, under that body's then-current rules. You waive the right to a jury trial and the right to participate in any class, collective, or representative action. Either party may bring a small-claims action in a court of competent jurisdiction. You may opt out of arbitration within 30 days of first accepting these Terms by emailing with your name, account email, and a clear statement that you want to opt out. Where the law does not permit arbitration or a class waiver, that part will not apply and the rest of this section remains in force.
12Indemnification
You agree to defend, indemnify, and hold harmless Loopdin and its officers, employees, and agents from any claim, demand, loss, or damage (including reasonable legal fees) arising out of (a) your use of the Service, (b) your content, (c) your violation of these Terms or any law, or (d) your violation of any third-party right.
13Termination, changes, and miscellaneous
We may suspend or terminate your access to the Service at any time, for any reason or no reason, with or without notice. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive (including content licenses already exercised, IP, disclaimers, liability limits, arbitration, and indemnification).
We may update these Terms at any time. Material changes will be posted on the Service; continued use after a change means you accept it.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. If any provision is held unenforceable, the rest remain in force. Failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them. Notices may be sent to .
